1. Acceptance

These Website Terms of Use ("Terms") govern your access to and use of rnptinc.com (the "Website"), operated by RnPT Inc. (알앤피티 주식회사) ("RnPT," "we," "us," or "our"), a company incorporated under the laws of the Republic of Korea.

By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website.

2. Nature of the Website

The Website is an informational corporate website. It describes RnPT as a company, our operating service KRACE, partnership opportunities for healthcare providers and institutions, and company news.

No service is provided, ordered, purchased, or contracted through this Website. The Website does not accept bookings, does not process payments, and does not create any account or membership. Registration for the KRACE Early Access waitlist is a request to receive launch information only and does not reserve, guarantee, or entitle you to any service.

2.1 Not a Medical Institution

RnPT is not a medical institution and is not a healthcare provider. Nothing on the Website constitutes medical advice, diagnosis, treatment, or a recommendation of any specific medical procedure, provider, or course of care.

All medical evaluation, treatment recommendation, informed consent, and medical services are provided by independent healthcare institutions and professionals licensed in the Republic of Korea, who bear sole legal responsibility for those services under the Medical Service Act of Korea.

If you have a medical concern, consult a qualified healthcare professional. If you believe you are experiencing a medical emergency, contact local emergency services immediately.

2.2 No Service Contract Formed

Use of the Website does not create any contract for the provision of services between you and RnPT, and does not create a coordinator–client, provider–patient, or agency relationship.

Services under the KRACE brand are provided on the KRACE platform and are governed by separate documents:

In the event of any conflict between these Terms and the KRACE documents in relation to the KRACE platform, the KRACE documents prevail.

3. Permitted Use

You may access and use the Website for lawful informational and business purposes. You agree not to:

• use the Website in violation of any applicable law or regulation;
• interfere with, disrupt, or attempt to gain unauthorized access to the Website, its servers, or connected systems;
• use automated means to scrape, harvest, or extract content or data at a scale that imposes an unreasonable burden on our infrastructure, except for search engine crawlers operating in accordance with our robots directives;
• misrepresent your identity or affiliation, including in any inquiry submitted through the Website;
• reproduce, republish, or distribute Website content in a manner that suggests endorsement by or affiliation with RnPT where none exists.

We may suspend or restrict access to the Website, in whole or in part, where we reasonably believe these Terms have been breached.

4. Intellectual Property

All content on the Website — including text, graphics, logos, images, layout, design elements, and software — is owned by RnPT or its licensors and is protected under the copyright, trademark, patent, and unfair competition laws of the Republic of Korea and applicable international treaties.

"RnPT," "KRACE," the RnPT and KRACE logos, and related marks are trademarks or service marks of RnPT Inc. RnPT holds a registered patent covering its Care Loop technology. Certification marks displayed on the Website, including ISO/IEC 27001, ISO 37301, and ISO 14001, and the names and emblems of government and public institutions, are the property of their respective owners and are displayed to indicate factual certification, selection, or partnership status.

You may not use, reproduce, or adapt any of the foregoing without our prior written consent, except for fair quotation permitted by law with clear attribution.

5. Inquiries and Submissions

The Website provides forms for general inquiries, partnership inquiries, and KRACE Early Access registration.

• No confidentiality. Unless we have signed a separate written confidentiality agreement with you, information you submit through the Website is not treated as confidential. Do not submit trade secrets, patient information, or other material you wish to keep confidential.
• Do not submit health information. The Website is not an appropriate channel for health information or other sensitive information, including in free-text fields. See our Website Privacy Notice for how such information is handled if submitted.
• Unsolicited ideas. If you submit ideas, proposals, concepts, or suggestions, you grant RnPT a non-exclusive, worldwide, royalty-free, perpetual right to use them without obligation of compensation, attribution, or confidentiality. This does not apply to information exchanged under a signed agreement.
• Accuracy. You are responsible for the accuracy of the information you submit. A partnership inquiry does not create any obligation for RnPT to enter into a partnership or to respond.

6. Newsroom, Announcements, and Forward-Looking Statements

The Website includes press releases, award and certification announcements, and company updates.

• Such materials are accurate as of their stated publication date. RnPT has no obligation to update them, and they should not be relied upon as current.
• References to awards, government programs, selections, certifications, registrations, and partnerships describe factual status as of publication and do not constitute an endorsement of RnPT's services by any awarding or certifying body.
• Statements regarding plans, expectations, market opportunity, service launch timing, roadmap, or future performance are forward-looking statements. They involve risks and uncertainties, and actual outcomes and timing may differ materially.
• Nothing on the Website constitutes an offer to sell or a solicitation to buy any security, an investment recommendation, or financial advice. Statistics regarding the Korean healthcare or international patient market are drawn from third-party and public sources and are provided for general context only.

We do not warrant that Website content is complete, current, or free of error, or that the Website will be available without interruption.

9. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the laws of the Republic of Korea, including liability arising from intentional misconduct or gross negligence.

12. Changes to These Terms

13. Language

These Terms have been drafted, and shall be construed, in the English language. Any translation is provided solely for reference and convenience. In the event of any inconsistency between the English version and any translation, the English version prevails.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Korea, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms or the Website shall be submitted to the Suwon District Court, Seongnam Branch (수원지방법원 성남지원), the court having jurisdiction over RnPT's principal place of business, as the court of first instance.

Where you are a consumer, this clause does not deprive you of the protection of any mandatory consumer jurisdiction rules applicable at your place of residence, and does not restrict your right to bring proceedings in a court having statutory jurisdiction.

15. Miscellaneous

• Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.
• No waiver. Our failure to enforce any provision is not a waiver of that provision.
• Entire agreement. These Terms, together with the Website Privacy Notice, constitute the entire agreement between you and RnPT regarding the Website.
